Common use of Purchase and Sale of Beacon Warrant Clause in Contracts

Purchase and Sale of Beacon Warrant. Subject to the terms and conditions set forth herein, the Company agrees to issue and sell to Beacon, and Beacon agrees to purchase from the Company, on the Closing Date, the Beacon Warrant to purchase 2,400,000 shares of Common Stock, for an aggregate purchase price of $100,000 (all of the shares of Common Stock issuable upon the exercise of the Beacon Warrant being purchased pursuant hereto being referred to herein as the "Warrant Shares").
