Common use of Purchase and Sale of Common Shares Clause in Contracts

Purchase and Sale of Common Shares. Upon the following terms and subject to the conditions contained herein, the Company shall, on the date hereof, issue and sell to the Purchaser, and the Purchaser shall purchase from the Company, an aggregate of 450,000 shares of Common Stock (the "Common Shares"), pursuant to the terms set forth on Exhibit B hereto, which terms are incorporated herein and shall be considered part of the agreement between the parties hereto.

Purchase and Sale of Common Shares. Upon the following terms and subject to the satisfaction or waiver of the conditions contained set forth herein, at the Closing (as defined below), the Company shall, on the date hereof, shall issue and sell to the PurchaserBuyer, and the Purchaser Buyer shall purchase from the Company, an aggregate of 450,000 312,500 shares of Common Stock (such purchased shares, the "“Common Shares"” and, such issuance by the Company and sale to the Buyer, the “Share Issuance”), pursuant to the terms set forth on Exhibit B hereto, which terms are incorporated herein free and shall be considered part clear of the agreement between the parties heretoall Encumbrances (as defined below).
