Common use of Purchase and Sale of LLC Interests Clause in Contracts

Purchase and Sale of LLC Interests. On the terms and subject to the conditions contained herein, at the Closing, Seller agrees to sell, assign, transfer and deliver to Purchaser (or its designated Affiliate or Affiliates), free from any Lien, and Purchaser agrees to (or cause its designated Affiliate or Affiliates to) purchase, accept and acquire from Seller, the LLC Interests.

On Upon the terms and subject to the conditions contained hereinset forth in this Agreement, Buyer agrees to purchase, acquire and accept from Seller, and Seller agrees to sell, transfer, assign, convey and deliver to Buyer, at the Closing, Seller agrees to sell, assign, transfer and deliver to Purchaser (or its designated Affiliate or Affiliates), free from any Lien, and Purchaser agrees to (or cause its designated Affiliate or Affiliates to) purchase, accept and acquire from Seller, all of the LLC Interests, free and clear of any Liens, for the Purchase Price.

On Subject to, and upon the terms and subject to the conditions contained hereinset forth in, this Agreement, at the Closing, in consideration for payment of the Purchase Price, Seller agrees to sell, transfer, assign, transfer convey and deliver to Purchaser (or its designated Affiliate or Affiliates), free from any LienBuyer, and Purchaser Buyer agrees to (or cause its designated Affiliate or Affiliates to) purchase, acquire and accept and acquire from Seller, all of Seller’s right, title and interest in and to the LLC InterestsInterests for the consideration specified in Section 2.02.
