Purchase and Sale of Payable Gold. (a) Subject to and in accordance with the terms of this Agreement, the Seller hereby agrees to sell to the Purchaser, and the Purchaser hereby agrees to purchase from the Seller, the Payable Gold, free and clear of all Encumbrances, in exchange for the Prepayment Amount.
