Common use of Purchase and Sale of Purchased Shares Clause in Contracts

Purchase and Sale of Purchased Shares. Subject to the terms and conditions of this Agreement, at the Time of Closing, the Vendor shall sell to the Purchaser the Purchased Shares and the Intercorporate Notes free and clear from all liens, charges and encumbrances, and the Purchaser shall purchase such shares and notes.

Purchase and Sale of Purchased Shares. Subject On and subject to the terms and conditions of this Agreement, at the Time of ClosingClosing and with effect at the Effective Time, the Vendor Vendors shall sell and convey to the Purchaser the Purchased Shares and the Intercorporate Notes free and clear from all liens, charges and encumbrances, and the Purchaser shall purchase such shares from the Vendors the Purchased Shares, all of which shall be free and notesclear of all Encumbrances of any kind whatsoever at the Time of Closing, for an amount equal to the Purchase Price.
