Purchase and Sale of the Class A Units. (a) At the Closing referred to in Section 2 below, subject to the terms and conditions set forth herein, the Company shall sell to each Purchaser the Class A Units in the amount listed on Schedule A and each Purchaser shall pay the Company the Purchase Price set forth on Schedule A.
