Common use of Purchase and Sale of the Membership Interests Clause in Contracts

Purchase and Sale of the Membership Interests. Upon the terms and subject to the conditions of this Agreement, at the Closing, each of the Sellers shall sell to the Purchaser, and the Purchaser shall purchase from each of the Sellers, all of the Membership Interests owned by such Seller (as set forth opposite such Seller’s name under the heading “Membership Interests Owned” on Annex I).

Purchase and Sale of the Membership Interests. Upon the terms and subject to the conditions of this Agreement, at the Closing, each of the Sellers Seller shall sell to the Purchaser, and the Purchaser shall purchase from each of the SellersSeller, all of the right, title and interest in and to the Membership Interests owned by such Seller Interests, free and clear of all Encumbrances (as set forth opposite such Seller’s name under the heading “Membership Interests Owned” on Annex Iother than Permitted Encumbrances).

Upon the terms and subject to the conditions of this Agreement, at the Closing, each of the Sellers Seller shall sell sell, assign, transfer and convey to the Purchaser, and the Purchaser shall purchase and acquire from each of the SellersSeller, all of the Membership Interests owned by such Seller (as set forth opposite such Seller’s name under Interests, free and clear of all Liens, for the heading “Membership Interests Owned” on Annex I).consideration specified below in this Article I.
