Common use of Purchase and Sale of the Sold Assets Clause in Contracts

Purchase and Sale of the Sold Assets. Subject to the terms and conditions set forth in this Agreement, at the Closing, Sellers will sell, assign, and transfer to Buyers, and Buyers will purchase and acquire all right, title and interest of Sellers in and to the Sold Assets, free and clear of all Encumbrances, other than, in the case of the Sold Real Property, Permitted Encumbrances.
