Common use of Purchase and Sale of the Stock Clause in Contracts

Purchase and Sale of the Stock. Upon the terms and subject to the conditions of this Agreement, at the Closing, the Seller shall sell, assign, transfer, convey and deliver, or cause to be sold, assigned, transferred, conveyed and delivered to the Purchaser, all of Seller’s rights, title and interest in and to the Stock, free and clear of all Encumbrances, and the Purchaser shall purchase and accept the Stock.

Purchase and Sale of the Stock. Upon Pursuant to the terms and subject to the conditions of this Agreement, at the Closing, the Seller shall sellsell and deliver to Buyer, assignand Buyer shall purchase from Seller, transfer, convey and deliver, or cause to be sold, assigned, transferred, conveyed and delivered to the Purchaser, all of Seller’s rights, title and interest in and to the Stock, free and clear of all Encumbrances, and the Purchaser shall purchase and accept the StockLiens.
