Purchase for Own Account; Economic Risk; Financial Capability. Each Purchaser is acquiring the Transferred Shares to be purchased by such Purchaser hereunder for investment for its own account and not with a view to the distribution thereof in violation of the Securities Act. Each Purchaser acknowledges that it can bear the economic risk of its investment in such Transferred Shares, and has such knowledge and experience in financial or business matters that it is capable of evaluating the merits and risks of the investment in such Transferred Shares. Each of the Purchasers has available sufficient cash for it to complete the transactions contemplated by each Transaction Document to which such Person is party, and to satisfy all of the obligations of each such Person under the Transaction Documents.
