Purchase of Mortgage Loans. Termination of Trust Fund Upon Purchase or Liquidation of All Mortgage Loans. (a) The respective obligations and responsibilities of the Trustee, the Securities Administrator and the Master Servicer created hereby (other than the obligation of the Securities Administrator to make payments to the Certificateholders as set forth in Section 7.02), shall terminate on the earliest of (i) the final payment or other liquidation of the last Mortgage Loan remaining in the Trust Fund and the disposition of all REO Property, (ii) the distribution of proceeds in connection with the exercise of the Clean-up Call and (iii) the Distribution Date immediately following the Latest Possible Maturity Date; provided, however, that in no event shall the Trust Fund created hereby continue beyond the expiration of 21 years from the death of the last survivor of the descendants of Jxxxxx X. Xxxxxxx, the late Ambassador of the United States to the Court of St. James’s, living on the date hereof. Any termination of the Trust Fund shall be carried out in such a manner so that the termination of each REMIC included therein shall qualify as a “qualified liquidation” under the REMIC Provisions. (c) The Depositor, the Master Servicer, each Servicer, the Servicing Administrator, the Securities Administrator, the Trustee Administrator and the Custodian shall be paid or reimbursed from the Clean-up Call Price for any Advances, Servicing Advances, accrued and unpaid Servicing Fees (including, in the case of Mortgage Loans serviced by Cenlar FSB, any accrued and unpaid Servicing Administrator Fees allocable therefrom), Master Servicing Fees and Trustee Fees or other amounts with respect to the related Mortgage Loans that are payable or reimbursable to such parties under this Agreement, the related Servicing Agreement or the Custodial Agreement prior to distributions to any Certificateholder.
(d) On any date on which the Aggregate Stated Principal Balance is less than ten twenty percent (1020%) of the Aggregate Stated Principal Balance as of the Cut-off Date, the Holder of the Class LT-R Certificate may terminate the Trust Fund by purchasing all of the Mortgage Loans and all property acquired in respect of any Mortgage Loan for the Clean-up Call Price. The Holder of the Class LT-R Certificate shall provide to the Securities Administrator not less than thirty (30) days prior written notice of its intent to exercise its purchase and termination right under this Section 7.01(d) and comply with the requirements of this Article VII to effect a “qualified liquidation” under the REMIC Provisions. The Holder of the Class LT-R Certificate is an express third party beneficiary of this Agreement, and shall have the same power and ability to exercise and enforce the rights stated to be provided to it hereunder as if it were a signatory hereto. The Depositor, the Master Servicer, the Securities Administrator and the Trustee hereby consent to any such exercise.
(e) If the Holder of the Class LT-R Certificate has not exercised its purchase and termination right pursuant to clause (d) above, then, on any date on which the Aggregate Stated Principal Balance is less than five percent (5%) of the Aggregate Stated Principal Balance as of the Cut-off Date, the Master Servicer may terminate the Trust Fund by purchasing all of the Mortgage Loans and all property acquired in respect of any Mortgage Loan for the Clean-up Call Price. The Master Servicer shall provide to the Securities Administrator not less than thirty (30) days prior written notice of its intent to exercise its purchase and termination right under this Section 7.01(d7.01(e) and comply with the requirements of this Article VII to effect a “qualified liquidation” under the REMIC Provisions. Purchase of Mortgage Loans. Termination of Trust Fund Upon Purchase or Liquidation of All The Seller hereby sells, transfers, assigns and conveys, and the Company hereby purchases the mortgage loans (the “Mortgage Loans.
”) listed on the Mortgage Loan Schedule in Exhibit 1. The Company and Seller intend that the conveyance by Seller to the Company of all its right, title and interest in and to the Mortgage Loans pursuant to this Section 2 shall be, and be construed as, a sale of the Mortgage Loans by Seller to the Company. It is, further, not intended that such conveyance be deemed to be a pledge of the Mortgage Loans by the Seller to the Company to secure a debt or other obligation of the Seller. (d) On any date on which the Aggregate Stated Principal Balance is less than ten percent (10%) of the Aggregate Stated Principal Balance as of the Cut-off Date, the Master Servicer may terminate the Trust Fund by purchasing all of create a security interest in the Mortgage Loans and all the other property acquired in respect described above, such security interest would be determined to be a perfected security interest of any Mortgage Loan for first priority under applicable law and will be maintained as such throughout the Clean-up Call Priceterm of this Agreement. The Master Servicer Without limiting the generality of the foregoing, the Seller shall provide prepare and deliver to the Securities Administrator Company not less than thirty (30) 15 days prior written notice to any filing date, and the Company shall file, or shall cause to be filed, at the expense of its intent the Seller, all filings necessary to exercise its purchase and termination right under this Section 7.01(d) and comply with maintain the requirements effectiveness of this Article VII to effect a “qualified liquidation” any original filings necessary under the REMIC Provisions. The Master Servicer Redwood Trust, Inc., or its successor shall provide to the Securities Administrator Trustee not less than thirty (30) days prior written notice of its intent to exercise its purchase and termination right under this Section 7.01(d) and comply with the requirements of this Article VII to effect a “"qualified liquidation” " under the REMIC Provisions. Any termination of the Trust Fund shall be carried out in such a manner so that the termination of each REMIC included therein shall qualify as a “qualified liquidation” under the REMIC Provisions.
(b) In connection with an exercise of the Clean-up Call, the Trustee, at the direction of as directed by the Securities Administrator, shall cause each REMIC to adopt a plan of complete liquidation by complying with the provisions of Section 7.03.
(c) The Depositor, the Master Servicer, each Servicer, the Servicing Administrator, the Securities Administrator, the Trustee Trustee, the Asset Representations Reviewer and the Custodian shall be paid or reimbursed from the Clean-up Call Price for any Advances, Servicing Advances, accrued and unpaid Servicing Fees (including, in the case of Mortgage Loans serviced by Cenlar FSB[20% Servicer], any accrued and unpaid Servicing Administrator Fees allocable therefrom), Master Servicing Fees, Securities Administrator Fees, Trustee Fees, Custodian Fees and Trustee Fees any unpaid expenses or indemnification amounts or other amounts with respect to the related Mortgage Loans that are payable or reimbursable to such parties under this Agreement, the related Servicing Agreement or the Custodial Agreement prior to distributions to any Certificateholder.
(d) On any date on which the Aggregate Stated Principal Balance or, in the case of any Stop Advance Mortgage Loan, the Unpaid Principal Balance is less than ten percent (10%) of the Aggregate Stated Principal Balance as of the Cut-off Date, the Master Servicer may terminate the Trust Fund by purchasing all of the Mortgage Loans and all property acquired in respect of any Mortgage Loan for the Clean-up Call Price. The Master Servicer shall provide to the Securities Administrator not less than thirty (30) days prior written notice of its intent to exercise its purchase and termination right under this Section 7.01(d) and comply with the requirements of this Article VII to effect a “qualified liquidation” under the REMIC Provisions. Purchase of Mortgage Loans. Termination of Trust Fund Upon Purchase or Liquidation of All Mortgage Loans.
(a) The respective obligations and responsibilities of the Trustee, the Securities Administrator and the Master Servicer Trustee created hereby (other than the obligation of the Securities Administrator Trustee to make payments to the Certificateholders as set forth in Section 7.02), shall terminate on the earliest of (i) the final payment or other liquidation of the last Mortgage Loan remaining in the Trust Fund and the disposition of all REO Property, (ii) the distribution of proceeds in connection with the exercise sale or auction of the Clean-up Call property held by the Trust Fund in accordance with Section 7.01(b) or 7.01(c) and (iii) the Distribution Date immediately following the Latest Possible Maturity Date; provided, however, that in no event shall the Trust Fund created hereby continue beyond the expiration of 21 years from the death of the last survivor of the descendants of Jxxxxx Xxxxxx X. Xxxxxxx, the late Ambassador of the United States to the Court of St. James’s, living on the date hereof. Any termination of the Trust Fund shall be carried out in such a manner so that the termination of each REMIC included therein shall qualify as a “qualified liquidation” under the REMIC Provisions.
(b) In connection with an exercise of On the Clean-up Call, the TrusteeInitial Optional Termination Date, at the direction option of and in consultation with the Depositor, the Auction Administrator shall solicit bids for the Pool Assets from at least three institutions that are regular purchasers and/or sellers in the secondary market of residential whole mortgage loans similar to the Mortgage Loans. If the Auction Administrator receives at least three bids for the Pool Assets, and one of such bids is equal to or greater than the Minimum Auction Price, the Auction Administrator shall sell the related Pool Assets to the highest bidder (the “Auction Purchaser”) at the price offered by the Auction Purchaser (the “Mortgage Loan Auction Price”). If the Auction Administrator receives less than three bids, or does not receive any bid that is at least equal to the Minimum Auction Price, unless the Servicer exercises its option under subsection (c) below, the Auction Administrator shall, on each six-month anniversary of the Securities Administratorinitial Optional Termination Date, repeat these auction procedures until the Auction Administrator receives a bid that is at least equal to the Minimum Auction Price, at which time the Auction Administrator shall sell the Pool Assets to the Auction Purchaser at that Mortgage Loan Auction Price; provided, however, that the Auction Administrator shall not be required to repeat these auction procedures on any Distribution Date for any six-month anniversary of the initial Optional Termination Date unless the Auction Administrator reasonably believes that there is a reasonable likelihood of receiving a bid of at least the Minimum Auction Price. The Auction Administrator shall give notice to the Rating Agencies and the Servicer that is servicing any of the Mortgage Loans of the sale of the Pool Assets pursuant to this Section 7.01(b) (an “Auction Sale”) and of the date of such auction (the “Auction Date”). The Trustee may engage an investment banking firm and/or other agents in connection with the Auction, the cost of which shall be included in the Minimum Auction Price (unless an Optional Termination does not occur in which case such costs shall be an expense of the Trust Fund); provided, however, that any such engagement and the choice of any such investment banking firm and/or other agents shall be subject to the consent of the Depositor.
(c) On any Distribution Date occurring after the Initial Optional Purchase Date, the Servicer shall have the option to cause each REMIC the Trust Fund to adopt a plan of complete liquidation by complying with of the provisions Mortgage Loans pursuant to Sections 7.02 and 7.03 hereof to sell all of Section 7.03the property related thereto. If the Servicer elects to exercise such option, it shall no later than 30 days prior to the Distribution Date selected for purchase of the Mortgage Loans and all other assets of the Trust Fund (the “Purchase Date”) deliver written notice to the Trustee and either (a) deposit in the Distribution Account the related Redemption Price or (b) state in such notice that the Redemption Price shall be deposited in the Distribution Account not later than 10:00 a.m., New York City time, on the applicable Purchase Date. Upon exercise of such option, the property of the Trust Fund shall be sold to the Servicer at a price equal to the related Redemption Price.
(cd) The Depositor, the Master Servicer, each Servicer, the Servicing Administrator, the Securities Administrator, the Trustee and the each Custodian shall be paid or reimbursed from the Clean-up Call Redemption Price for any P&I Advances, Servicing Servicer Advances, accrued and unpaid Servicing Fees (including, in the case of Mortgage Loans serviced by Cenlar FSB, any accrued and unpaid Servicing Administrator Fees allocable therefrom), Master Servicing Fees and Trustee Fees or other amounts with respect to the related Mortgage Loans and any related assets being purchased pursuant to Section 7.01(b) or 7.01(c) above that are payable or reimbursable to such parties (and such other amounts which, if not related to the Mortgage Loans and other assets of the Trust Fund not being purchased, that are then due and owing to any such Person) under this Agreement, Agreement and the related Servicing Agreement or the related Custodial Agreement prior to distributions to any CertificateholderAgreement.
(d) On any date on which the Aggregate Stated Principal Balance is less than ten percent (10%) of the Aggregate Stated Principal Balance as of the Cut-off Date, the Master Servicer may terminate the Trust Fund by purchasing all of the Mortgage Loans and all property acquired in respect of any Mortgage Loan for the Clean-up Call Price. (d) On any date on which the Aggregate Stated Principal Balance is less than ten percent (10%) of the Aggregate Stated Principal Balance as of the Cut-off Date, the Master Servicer may terminate the Trust Fund by purchasing all of the Mortgage Loans and all property acquired in respect of any Mortgage Loan which materially adversely affects the value of such Mortgage Loan or the interest therein of the Certificateholders or the Certificate Insurer, the Trustee shall promptly notify the Originator, the Certificate Insurer and the Sponsor of such defect, missing document or breach and request that the Sponsor deliver, or cause the Originator, pursuant to the Originator Mortgage Loan Purchase Agreement, to deliver, such missing document or that the Sponsor or Originator, as applicable, cure such defect or breach within 90 days from the date the Sponsor or Originator were notified of such missing document, defect or breach, and if neither the Sponsor nor the Originator delivers such missing document or cures such defect or breach in all material respects during such period, the Trustee shall enforce the Originator's obligation under the Originator Mortgage Loan Purchase Agreement or the Sponsor's obligations hereunder and cause the Sponsor or the Originator, as applicable, to repurchase such Mortgage Loan from the Trust Fund at the Purchase Price on or prior to the Determination Date following the expiration of such 90 day period (subject to Section 2.03(e)); provided that, in connection with any such breach that could not reasonably have been cured within such 90 day period, if the Sponsor or the Originator, as applicable, shall have commenced to cure such breach within such 90 day period, the Sponsor and Originator shall be permitted to proceed thereafter diligently and expeditiously to cure the same within the additional period provided hereunder or under the Originator Mortgage Loan Purchase Agreement, as applicable. The Purchase Price for the Clean-up Call repurchased Mortgage Loan shall be deposited in the Collection Account, and the Trustee, upon receipt of written certification from the Master Servicer of such deposit, shall release to the Sponsor or the Originator, as appropriate, the related Mortgage File and shall execute and deliver such instruments of transfer or assignment, in each case without recourse, as the Sponsor or the Originator shall furnish to it and as shall be necessary to vest in the Sponsor or the Originator, as appropriate, any Mortgage Loan released pursuant hereto and the Trustee shall have no further responsibility with regard to such Mortgage File (it being understood that the Trustee shall have no responsibility for determining the sufficiency of such assignment for its intended purpose). It is understood and agreed that the obligations of the Sponsor and the Originator to cure or to repurchase any Mortgage Loan as to which a document is missing, a material defect in a constituent document exists or a breach that has occurred and is continuing shall constitute the sole remedy against the Sponsor and the Originator respecting such omission, defect or breach available to the Trustee on behalf of the Certificateholders and the Certificate Insurer.
(b) Subject to Section 2.03(e), within 90 days of the earlier of discovery by the Depositor or receipt of notice by the Depositor of the breach of any representation or warranty of the Depositor set forth in Section 2.06 with respect to any Mortgage Loan, which materially adversely affects the value of such Mortgage Loan or the interest therein of the Certificateholders or the Certificate Insurer, the Depositor shall (i) cure such breach in all material respects or (ii) repurchase the Mortgage Loan from the Trust at the Purchase Price. The Purchase Price for any repurchased Mortgage Loan shall be delivered to the Master Servicer for deposit in the Collection Account, and, upon receipt thereof, the Master Servicer shall provide at the Depositor's direction release to the Securities Administrator not less than thirty (30) days prior written notice of its intent to exercise its purchase and termination right under this Section 7.01(d) and comply with Depositor the requirements of this Article VII to effect a “qualified liquidation” under the REMIC Provisions. The Depositor, the Securities Administrator related Mortgage File and the Trustee hereby consent shall execute and deliver such instruments of transfer or assignment furnished by the Depositor, in each case without recourse, as the Depositor shall furnish to it and as shall be necessary to vest in the Depositor any Mortgage Loan released pursuant hereto.
(c) Within 90 days of the earlier of discovery by the Master Servicer or receipt of notice by the Master Servicer of the breach of any representation, warranty or covenant of the Master Servicer set forth in Section 2.05 which materially and adversely affects the interests of the Certificateholders or the Certificate Insurer in any Mortgage Loan, the Master Servicer shall cure such exercisebreach in all material respects.
(d) Upon discovery by the Originator, the Master Servicer, the Certificate Insurer, the Sponsor or the Trustee that any Mortgage Loan does not constitute a "qualified mortgage" within the meaning of Section 860G(a)(3) of the Code, the party discovering such fact shall within two Business Days give written notice thereof to the other parties and the Certificate Insurer. In connection therewith, the Sponsor shall repurchase such affected Mortgage Loan within 90 days of the earlier of discovery or receipt of such notice with respect to such affected Mortgage Loan. Any such repurchase shall be made in the same manner as set forth in Section 2.03(a). The Trustee shall reconvey to the Sponsor the Mortgage Loan to be released pursuant hereto in the same manner, and on the same terms and conditions, as it would a Mortgage Loan repurchased for breach of a representation or warranty.
