Common use of Purchase of Securities, Draw Down Clause in Contracts

Purchase of Securities, Draw Down. During the term of this Agreement, the Company may request a “Draw Down”, whereby the Company shall deliver to Buyer written notice to purchase a certain dollar amount of shares of common stock (a “Draw Down Amount”). In no event may any Draw Down Amount be in an amount that would result in the beneficial ownership of more than 9.99% of the outstanding stock of the Company by Buyer.
