Common use of Purchase of Subject Shares; Purchase Price Clause in Contracts

Purchase of Subject Shares; Purchase Price. (a) On the terms and subject to the conditions set forth in this Agreement, and in accordance with the applicable laws of Taiwan, including the rules and regulations of the TIC, on the Closing Date, the Purchaser shall purchase from the Selling Parties, all and not less than all, of the Subject Shares.
