Common use of PURCHASE OF THE SHARES FROM SELLER Clause in Contracts

PURCHASE OF THE SHARES FROM SELLER. Subject to and upon the terms and conditions of this Agreement, at the closing of the transactions contemplated by this Agreement (the "Closing"), Seller shall sell, transfer, convey, assign and deliver to Purchaser, and Purchaser shall purchase, acquire and accept from Seller, all of the Shares, free and clear of any claims, liens, restrictions on transfer or encumbrances with respect thereto.

PURCHASE OF THE SHARES FROM SELLER. Subject to and upon the terms and conditions of this Agreement, at the closing of the transactions contemplated by this Agreement (the "Closing"), Seller shall sell, transfer, convey, assign and deliver to PurchaserBuyer, and Purchaser Buyer shall purchase, acquire and accept from Seller, all of the Shares, free and clear of any claimsEncumbrances. At the Closing, liensSeller shall deliver to Buyer certificates evidencing the Shares duly endorsed in blank, restrictions on or with stock powers duly executed in proper form for transfer or encumbrances with respect theretosignatures guaranteed.
