Common use of PURCHASE ORDERS FOR NEW VEHICLES Clause in Contracts

PURCHASE ORDERS FOR NEW VEHICLES. Immediately prior to Closing, Buyer and seller shall jointly review Seller's outstanding purchase orders for new vehicles ordered from Seller by customers but not delivered prior to Closing. At Closing, Seller shall assign to Buyer, and Buyer shall assume from Seller, all of Seller's rights (including customer deposits) and obligations (including sales commissions) under such purchase orders; provided, however, that Buyer shall not be obligated to assume Buyer's rights or obligations with respect to any new vehicle purchase order which is at a price less than factory invoice, or which provides for a trade-in at a price or under terms not acceptable to Buyer. At Closing, Seller shall turn over to Buyer all customer deposits on ordered but undelivered new vehicles.
