The consummation of the transactions contemplated by this Agreement and the other Transaction Documents shall not be prohibited by or violate any Applicable Laws, including the laws of any International Jurisdiction to which the Purchaser and its Subsidiaries are subject, and shall not be enjoined (temporarily or permanently) under, or prohibited by or contrary to, any injunction, order, decree or ruling of any Governmental Agency or other Person.
