Purchase Price and Transferability. The purchase price for your Restricted Stock is deemed paid by your Service. Until vested pursuant to this Agreement, the Restricted Stock (a) is subject to forfeiture, (b) may not be sold, transferred, assigned, pledged, or otherwise encumbered or disposed of, whether by operation of law or otherwise, and (c) may not be made subject to execution, attachment, or similar process.
