Purchase Price Payment Offset. Until the balance in the BIOTRINE prepaid account is reduced to zero, CENTER shall have the right to reduce any amounts payable made to BIOTRINE under the provisions of Article 3 by an amount equal to fifty percent (50%) of such amounts payable or the remaining balance of the BIOTRINE prepaid account, whichever is less. All purchase price payment offsets shall be clearly indicated as such on any purchase price payment accounting provided to BIOTRINE.
