PURCHASE PRICE; TERMS AND METHOD OF PAYMENT. The purchase price for a Membership Interest being purchased pursuant to this Article 9 (the "Purchase Price") shall be determined in the following manner. The Affected Member and the Purchasing Members shall attempt to agree upon the fair market value of the applicable Membership Interest and the terms and method of payment of such amount. If those Members do not reach such agreement on or before the 30th Day following the exercise of the option, any such Member, by notice to the others, may require the determination of fair market value and the terms and method of payment to be made by the Arbitrator pursuant to Article 10.
