Purchase Term Sample Clauses

Purchase Term. The "Purchase Term" shall mean the ten (10) year period that begins on the date the first order for Products is shipped after the date first appearing above. In the event that neither party gives the other written notice eighteen (18) months prior to the end of the initial ten (10) year Purchase Term, the Agreement shall automatically be extended so that after the end of the initial Purchase Term the Agreement may be terminated only upon eighteen (18) months prior written notice by Lannett or **** to the other.

Purchase Term. The term of this Agreement shall commence as of the Commencement Date and shall remain in effect until the first to occur of: (a) the exercise by Purchaser of the option to prepay the Purchase Price under Article XI, (b) the occurrence of an Event of Nonappropriation in accordance with Section 6.04, or (c) the payment by Purchaser of all sums required to be paid by Purchaser hereunder.

In the event that the market does not support the agreement either party may cancel the agreement by giving the other party one hundred and eighty (180) days written notice.

Purchase Term. The period of time from the Commercial Operation Date until the end of thirty (30) years after the Commercial Operation Date.

The initial Purchase Term of this Agreement shall end on August 31, 2001 subject to the following: 1) Buyer agrees to buy all Product from Contractor during the Purchase Term. 2) Buyer's target procurement rate for Product from January 1, 2000 through August 31, 2001 ("Interim Term") is XXXXX units. 3) If Buyer purchases less than XXXXX Products during the period 1/1/00 - 8/31/01, then Buyer shall pay Contractor an additional amount to offset development costs. Such amount shall be calculated by dividing 15% of the total NRE cost for Project Nodoubt by XXXXX and then multiplying this number by the quantity less than XXXXX ("shortfall"). For example, if Buyer purchases XXXXX Products during the Interim Term, then Buyer shall pay Contractor an additional amount of XXXXX - calculated as follows: XXXXX. 5) If Buyer purchases more than XXXXX Products from Contractor during this Term, no additional amount shall be charged to Buyer as described herein.

During the Purchase Term, contractor shall have worldwide manufacturing rights, excluding products manufactured by Asian headquartered firms and sold to end users in Asia, to manufacture a minimum of 50% of all units of the Product produced for Buyer during the Purchase Term, said time period to survive notwithstanding the sale or licensing of Biofield's technology to a third party. This Agreement governs Purchase Orders issued by Buyer during the Purchase Term and any mutually agreed upon extension.
