Common use of Purchaser Assignment and Assumption Agreements Clause in Contracts

Purchaser Assignment and Assumption Agreements. One or more Purchaser Assignment and Assumption Agreements between Seller and each of the BD Subsidiaries, as applicable, on the one hand, and Purchaser and certain of its Affiliates, as applicable, on the other hand, enforceable in various jurisdictions covering the assignment to, and assumption by, Purchaser of the Assumed Liabilities, including specific foreign agreements, Purchased Inventory, and specified manufacturing assets, in forms to be mutually agreed upon by the parties (“Purchaser Assignment and Assumption Agreements”);
