Purchaser Board Approval. A condition to the obligation of the Company and Trussnet to consummate the transactions contemplated by this Agreement shall be that on or before 5:00 P.M. (California time), the Purchaser or its legal counsel shall have confirmed in writing to the Company and its counsel by email or facsimile transmission that the board of directors of the Purchaser shall have approved this Agreement and the transactions contemplated hereby.
