Common use of Purchaser Claims Notice Clause in Contracts

Purchaser Claims Notice. Purchaser shall be responsible for making any claim for indemnity pursuant to this Section 5.3(a) on behalf of any Indemnified Purchaser Party. Purchaser shall provide prompt written notice (a “Purchaser Claims Notice”) to Servicer describing any claim for indemnity pursuant to Section 5.3(a)(i) within sixty (60) days after the date on which (1) Purchaser or (2) any other Person to whom such Loan shall have been sold, transferred or assigned, receives notice of, becomes aware of (or should have become aware of in the diligent exercise of their duties) or knows of the applicable breach. Furthermore, Purchaser shall include in each Purchaser Claims Notice regarding a Specified Indemnity Claim, for each affected Loan, (A) a certification of an authorized officer of Purchaser as to the satisfaction of each of the conditions to indemnification set forth in Section 5.3(a)(v) and (vi) and (B) sufficient information and supporting documentation as may necessary to describe the relevant details of the Specified Indemnity Claim and the underlying Loan (to the extent not otherwise known to Servicer).
