Purchaser Parties’ Performance. Each of the Purchaser Parties must have complied, in all material respects, with all of their respective obligations in this Agreement with which the Purchaser Parties are required to comply at or prior to the Closing, except that Purchaser Parties must have complied fully with any obligation that is qualified by concepts of materiality.
