Purchaser Representations. Purchaser represents and warrants, as of the Effective Date and as of the Closing Date, that Purchaser is duly organized and validly existing under the laws of the state of Wyoming and has all requisite power and authority to enter into and perform this Agreement and the documents contemplated hereby and that the person executing this Agreement on behalf of Purchaser has all requisite authority to do so.
