Common use of Purchaser’s Closing Obligations Clause in Contracts

Purchaser’s Closing Obligations. The Purchaser shall on Closing and subject to the transfer of the Interests: (a) deliver or procure that there is delivered to the Vendor a certified copy of the minutes of a meeting of the directors of its general partner, authorising the execution of this Agreement and any other Transaction Document that it is to execute pursuant to this Agreement; (b) pay to the Vendor the Consideration in accordance with Clause 3.2 (Payment of Consideration).

Purchaser’s Closing Obligations. The Purchaser shall on Closing and subject to the transfer of the Interests: (a) deliver or procure that there is delivered to the Vendor a certified copy of the minutes of a meeting of the directors of its general partner, authorising the execution of this Agreement and any other Transaction Document that it is to execute pursuant to this Agreement;; and (b) pay to the Vendor the Consideration in accordance with Clause 3.2 (Payment of Consideration).

The Purchaser shall on Closing and subject to the transfer of the Interests: (a) deliver or procure that there is delivered to the Vendor a certified copy of the minutes of a meeting of the directors of its general partner, authorising the execution of this Agreement and any other Transaction Document that it is to execute pursuant to this Agreement; (b) cause its transfer agent, BNY Mellon Shareowner Services, to transfer and register the Consideration Shares in the name of Teekay Holdings, and pay to the Vendor the Consideration in accordance with Clause 3.2 (Payment of Consideration).

The Purchaser shall on Closing the Completion Date and subject to the transfer of the InterestsInterest: (a) deliver or procure that there is are delivered to the Vendor a certified copy of the minutes of a meeting of the directors of its general partner, authorising the execution of this Agreement and any other Transaction Document that it is to execute pursuant to this Agreement; (b) pay to the Vendor the Consideration in accordance with Clause 3.2 (Payment of Consideration).by transferring such amount to the Vendor’s Account for value on the Completion Date;
