Purchasing as Principal. Unless paragraph (f) or (g) below applies, the Purchaser is purchasing the Class I Units as principal for its own account, and not for the benefit of any other person, and it is an “accredited investor”, as such term is defined in NI 45-106 or, in Ontario, in Section 73.3 of the Securities Act (Ontario), it was not created and is not being used solely to purchase or hold securities as an “accredited investor” described in paragraph (m) of the definition of “accredited investor” as defined in NI 45-106 or, in Ontario, in Section 73.3 of the Securities Act (Ontario), and has initialled in Exhibit 1 of Schedule A attached hereto indicating that the Purchaser satisfies (and will satisfy during the Investment Period), one of the categories of “accredited investor” set forth therein;
