Common use of Purpose; Contingency Clause in Contracts

Purpose; Contingency. This Article sets forth the undertakings and obligations of Developer to compensate the Town and the Trustees for real property interests set forth in certain Project Access Agreements, and to provide community benefits in connection with the Project. This Agreement, and Developer’s undertakings and obligations hereunder, are contingent upon Developer obtaining approval of the Project in connection with the Proceeding and the siting of the Project as set forth on the map annexed hereto as Exhibit A. In the event Developer is unable to obtain such approval, the foregoing undertakings and obligations shall be null and void with the exception of the First Milestone Payment set forth in Section 2.5 and except as otherwise specifically stated herein.
