Purpose of Covenants. Xxxxxx and the Corporation agree that the covenants in Subsections 4.1, 4.2 and 4.3 above are reasonable and necessary to protect the confidentiality of the trade secrets and other proprietary information concerning the business of the Corporation and its subsidiaries, affiliates and joint venture partners that was acquired by Xxxxxx as an employee of the Corporation and during the course of his consulting services under this Agreement.
