Borrower represents to and warrants to Lender (1) that the Securities borrowed by it are being used only for lawful purposes and (2) that it is either (i) a bank subject to U.S. federal or state supervision; (ii) a broker-dealer registered under the Securities Exchange Act of 1934, as amended (the “Act”), or (iii) exempt from registration under Section 15(a)(1) of the Act as a dealer in Government Securities.
