Purpose of the Escrow Funds. The Escrow Funds will be deposited with the Escrow Agent and will be held by the Escrow Agent to secure the obligations of each of the Stockholders to make payments to the Purchaser (i) in the event payment by the Stockholders shall be required under Section 2.06(c)(i) of the Stock Purchase Agreement and (ii) with respect to any indemnification obligations of each of the Stockholders pursuant to Section 9.02 of the Stock Purchase Agreement.
