Common use of Purpose; Powers Clause in Contracts

Purpose; Powers. The primary business and purpose of the Company shall be to engage in such activities as are permitted under the Delaware Act and determined from time to time by the Manager in accordance with the terms and conditions of this Agreement. The Company shall have the power and authority to take (directly or indirectly through its Subsidiaries) any and all actions and engage in any and all activities necessary, appropriate, desirable, advisable, ancillary or incidental to accomplish the foregoing purpose.

The primary purpose and business and purpose of the Company shall be any business which may lawfully be conducted by a limited liability company organized pursuant to engage in such activities as are permitted under the Delaware Act and determined from time to time by the Manager in accordance with the terms and conditions of this AgreementAct. The Company shall have possess and may exercise all powers and privileges granted by the power Delaware Act, any other law, or by this Agreement, including incidental powers thereto, to the extent that such powers and authority to take (directly or indirectly through its Subsidiaries) any and all actions and engage in any and all activities privileges are necessary, appropriatecustomary, desirable, advisable, ancillary convenient or incidental to accomplish the foregoing purposeattainment of the Company’s purposes.
