Common use of Purposes for Which Holders’ Meetings May be Called Clause in Contracts

Purposes for Which Holders’ Meetings May be Called. A meeting of Holders may be called at any time and from time to time pursuant to this Article X for any of the following purposes: (A) to give any notice to the Company or to the Trustee, or to give any directions to the Trustee, or to waive or to consent to the waiving of any default hereunder and its consequences, or to take any other action authorized to be taken by Holders pursuant to Article VI; (B) to remove the Trustee and appoint a successor Trustee pursuant to Article VII; (C) to consent to the execution of an indenture or indentures supplemental hereto pursuant to Section 11.02; or (D) to take any other action authorized to be taken by or on behalf of the Holders of any specified aggregate principal amount of the Securities under any other provision of this Indenture or under applicable law.

Purposes for Which Holders’ Meetings May be Called. A meeting of Holders may be called at any time and from time to time pursuant to this Article X Nine for any of the following purposes: (Aa) to give any notice to the Company or to the Trustee, or to give any directions to the Trustee, or to waive or to consent to the waiving of any default hereunder and its consequences, or to take any other action authorized to be taken by Holders pursuant to Article VISix; (Bb) to remove the Trustee and appoint a successor Trustee trustee pursuant to Article VIISeven; (Cc) to consent to the execution of an indenture or indentures supplemental hereto pursuant to Section 11.0210.02; or (Dd) to take any other action authorized to be taken by or on behalf of the Holders of any specified aggregate principal amount of the Securities under any other provision of this Indenture or under applicable law.

A meeting of Holders may be called at any time and from time to time pursuant to this Article X 12 for any of the following purposes: (Aa) to give any notice to the Company or to the Trustee, or to give any directions to the Trustee, or to waive or to consent to the waiving of any default hereunder and its consequences, or to take any other action authorized to be taken by Holders pursuant to Article VI9; (Bb) to remove the Trustee and appoint a successor Trustee pursuant to Article VII10; (Cc) to consent to the execution of an indenture or indentures supplemental hereto pursuant to Section 11.0213.2; or (Dd) to take any other action authorized to be taken by or on behalf of the Holders of any specified aggregate principal amount of the Securities Bonds under any other provision of this Indenture or under applicable law.

A meeting of Holders may be called at any time and from time to time pursuant to this Article X 13 for any of the following purposes: (Aa) to give any notice to the Company Issuer or to the Trustee, or to give any directions to the Trustee, or to waive or to consent to the waiving of any default hereunder and its NRG Northeast Generating Indenture consequences, or to take any other action authorized to be taken by Holders pursuant to Article VI10; (Bb) to remove the Trustee and appoint a successor Trustee pursuant to Article VII11; (Cc) to consent to the execution of an indenture or indentures supplemental hereto pursuant to Section 11.0214.2; or (Dd) to take any other action authorized to be taken by or on behalf of the Holders of any specified aggregate principal amount of the Securities Bonds under any other provision of this Indenture or under applicable law.

A meeting of Holders may be called at any time and from time to time pursuant to this Article X 13 for any of the following purposes: (Aa) to give any notice to the Company Issuer or to the Trustee, or to give any directions to the Trustee, or to waive or to consent to the waiving of any default hereunder and its NRG Northeast Generating Indenture ---------------------------------- consequences, or to take any other action authorized to be taken by Holders pursuant to Article VI10; (Bb) to remove the Trustee and appoint a successor Trustee pursuant to Article VII11; (Cc) to consent to the execution of an indenture or indentures supplemental hereto pursuant to Section 11.0214.2; or (Dd) to take any other action authorized to be taken by or on behalf of the Holders of any specified aggregate principal amount of the Securities Bonds under any other provision of this Indenture or under applicable law.

A meeting of Holders may be called at any time and from time to time pursuant to this Article X Fifteen for any of the following purposes: (Aa) to give any notice to the Company Issuer or to the Trustee, or to give any directions to the Trustee, or to waive or to consent to the waiving of any default Default hereunder and its consequences, or to take any other action authorized to be taken by Holders pursuant to Article VISeven; (Bb) to remove the Trustee and appoint a successor Trustee pursuant to Article VIISection 810; (Cc) to consent to the execution of an indenture or indentures supplemental hereto pursuant to Section 11.021002; or (Dd) to take any other action authorized to be taken by or on behalf of the Holders of any specified aggregate principal amount of the Securities Bonds under any other provision of this Indenture or under applicable law.

A meeting of Holders may be called at any time and from time to time pursuant to this Article X 10 for any of the following purposes: (Aa) to give any notice to the Company or to the Trustee, or to give any directions to the Trustee, or to waive or to consent to the waiving of any default hereunder and its consequences, or to take any other action authorized to be taken by Holders pursuant to Article VI7; (Bb) to remove the Trustee and appoint a successor Trustee pursuant to Article VII8; (Cc) to consent to the execution of an indenture or indentures supplemental hereto pursuant to Section 11.0211.2; or (Dd) to take any other action authorized to be taken by or on behalf of the Holders of any specified aggregate principal amount of the Securities Notes under any other provision of this Indenture or under applicable law.

A meeting of Holders may be called at any time and from time to time pursuant to this Article X Fifteen for any of the following purposes: (Aa) to give any notice to the Company Issuer or to the Trustee, or to give any directions to the Trustee, or to waive or to consent to the waiving of any default hereunder and its consequences, or to take any other action authorized to be taken by Holders pursuant to Article VISeven; (Bb) to remove the Trustee and appoint a successor Trustee pursuant to Article VIIEight; (Cc) to consent to the execution of an indenture or indentures supplemental hereto pursuant to Section 11.021002; or (Dd) to take any other action authorized to be taken by or on behalf of the Holders of any specified aggregate principal amount of the Securities Bonds under any other provision of this Indenture or under applicable law.
