Put Exercise Price. The Put Option may be exercised by delivering a written notice to that effect to the State and the Company (such a notice, the "Put Exercise Notice"), until three (3) months after the persons referred to in Clause 14.3.1 have not procured (i) withdrawal of the relevant proposal in writing, or (ii) that the General Meeting has validly adopted the relevant proposal, in accordance with Clause 14.3.3, and the Cooling Down Term has lapsed.
