Put Option Agreements. Universal France shall assume the obligations of LPF under the multiThematiques Cooperation Agreement, the Option Agreements and the Loan Agreement and any other obligations in respect of any multiThematiques shareholder arrangements to which LMI and/or LPF, on the one hand, and Vivendi and/or one or more of its Affiliates, on the other hand, are parties, in each case relating to periods after the Closing Date, and shall use its reasonable best efforts to cause LMI and LPF to be released from such obligations.
Put Option Agreements. Borrower shall (i) timely complete all requirements of Borrower under each Put Option Agreement, including but not limited to timely achievement of Substantial Completion (as defined in each Put Option Agreement), and (ii) exercise all of its rights under each Put Option Agreement, including but not limited to the exercise of the Put Option (as defined in each Put Option Agreement) as soon as possible after such exercise is permitted.
Put Option Agreements. The parties hereto agree that, effective at the time of the Closing, all of those certain Put Option Agreements, each of which is dated on or about September 19, 1994, among Purchaser, the Company and the Stockholders, or attorneys-in-fact for the Stockholders, are hereby terminated effective at the time the last required action is taken at the Closing.
