Pxxxxx xx Managers. Without limiting the generality of Article 5.1, but subject to Article 5.3B and to the express limitations set forth elsewhere in this Agreement, the Managers shall have all necessary powers to manage and carry out the purposes, business, property, and affairs of IMMERSION, including, without limitation, the power to exercise on behalf and in the name of IMMERSION all of the powers described in Corporations Code Section 17003 including, without limitation, the power to: (i) Acquire, purchase, renovate, improve, alter, rebuild, demolish, replace, and own real property and any other property or assets that the Managers determine is necessary or appropriate or in the interest of the business of IMMERSION, and to acquire options for the purchase of any such property; (ii) Endorse checks, drafts, and other evidences of indebtedness made payable to the order of IMMERSION, but only for the purpose of deposit into IMMERSION's accounts.
