Common use of Qualification of Stock Clause in Contracts

Qualification of Stock. The Company agrees that it shall use its best efforts to obtain and maintain the qualification of its Qualified Offering until the expiration of the Warrants in accordance with the provisions of Section 8 of this Warrant. In addition, the Company agrees to use its best efforts to register the shares of common stock issuable upon exercise of the Warrants under state blue sky laws, to the extent an exemption is not available.

Qualification of Stock. The Company agrees that it shall use its best efforts to obtain and maintain the qualification of its Qualified Offering offering statement (SEC File No. _______), and a current offering circular relating thereto, until the expiration of the Warrants in accordance with the provisions of Section 8 of this Warrant. In addition, the Company agrees to use its best efforts to register the shares of common stock issuable upon exercise of the Warrants under state blue sky laws, to the extent an exemption is not available.

In addition, the Company agrees to use its best efforts to register the shares of common stock issuable upon exercise of the Warrants under state blue sky laws, to the extent an exemption is not available.

In addition, the Company agrees to use its best efforts to register the shares of common stock Class B Common Stock issuable upon exercise of the Warrants under state blue sky laws, to the extent an exemption is not available.
