Qualification of Trustee; Conflicting Interests. The Trustee shall comply with Section 310(b) of the Trust Indenture Act. Subject to compliance with the Trust Indenture Act, the Trustee and its affiliates, may also engage in or be interested in any financial or other transaction with the Issuer and may act as depository, trustee or agent for any committee of Holder or other obligations of the Issuer as freely as if it were not Trustee.

Subject to compliance with Act regarding the Trust Indenture Act, disqualification of the Trustee and its affiliates, may also engage in or be interested in the event that it acquires any financial or other transaction with the Issuer and may act conflicting interest as depository, trustee or agent for any committee of Holder or other obligations of the Issuer as freely as if it were not Trusteetherein defined.
