All registrations, qualifications, permits and approvals required under applicable state securities laws for the lawful execution and delivery of this Agreement and the offer, sale, issuance and delivery of the Notes, any request for an Additional Advance, and the offer of the Conversion Stock (as defined in Section 6.1 below) shall have been obtained.
