Common use of Qualifications of Broker-Dealer Representatives Clause in Contracts

Qualifications of Broker-Dealer Representatives. The Broker-Dealer represents and warrants that it shall take all necessary action to ensure that no individual shall offer or sell the Contracts on behalf of Broker-Dealer in any state or other jurisdiction in which the Contracts may lawfully be sold unless such individual is an associated person of Broker-Dealer (as that term is defined in Section 3(a)(18) of the 1934 Act), is neither subject to a statutory disqualification (as that term is defined in the 0000 Xxx) nor prohibited from engaging in the business of insurance (under the Violent Crime Control and Law Enforcement Act of 1994), and is duly registered with the NASD and any applicable state securities regulatory authority as a registered person of Broker-Dealer qualified to distribute the Contracts in such state or other jurisdiction.
