Quality Control and Samples. 6.1 The Licenses granted hereunder are conditioned upon Licensee’s compliance with the marking provisions of the Trademark, patent, and copyright laws of the United States and other countries in the Territory; provided, that Licensor acknowledges that de minimis compliance failures shall not be deemed a breach of this Agreement or impact the Licenses granted hereunder.
6.2 The Licensed Products, as well as all promotional, packaging and advertising material relative thereto, shall include all appropriate legal notices as required by regulation/law.
6.3 Licensee shall arrange for the manufacturing of the Licensed Products following industry best practices applicable to leading products in the same industry and market as the Licensed Products, including without limitation, industry standards applicable to premium whipped cream, non-dairy products delivered via aerosol, which for the purposes of this Agreement shall include maintaining, the quality of the Licensed Products to sustain the appearance of full whipped cream with enough density and texture to not have it be runny, at the time of manufacture, storage, transportation and at any other time the Licensed Products are in the possession of the Licensee. 6.4 Prior to the commencement of manufacture and sale of the Licensed Products in any portion of the Territory, Licensee shall certify and confirm that the Licensed Products have no toxic substances and will be manufactured in accordance with all applicable local laws and regulations (including but not limited to those respecting product liability and applicable consumer safety) for all jurisdictions in which the Licensed Product is to be distributed and sold. The Licensee agrees to permit Licensor or its representative to inspect the facilities where the Licensed Products are being manufactured and packaged during Licensee’s regular business hours, and no more than twice per contract period.
6.5 Promptly following the completion of the initial manufacture of the Licensed Products (and thereafter upon Licensor’s reasonable request), Licensee shall send twenty (20) samples of each Licensed Product to Licensor.
Quality Control and Samples. Seller shall implement and maintain an acceptable quality management system, preferably in accordance with ISO-9000, from a reputable certification organization or a quality management system in accordance with EaglePicher’s EP-QC-1159, "Suppliers Inspection System Requirements". Seller shall maintain manufacturing and process control plans with a minimum process capability as stated in the ISO-9000 documentation or as stated in EaglePicher's EP-QC-1159, "Suppliers Inspection System Requirements". Seller shall submit to Buyer, if requested, its semi-annual and/or annual ISO-9000 or other quality management system audit closure letter within thirty (30) days after Seller receives such audit closure letter from the certifying organization. Seller’s system, including the procedures, is subject to EaglePicher’s review and evaluation throughout the period of performance of the tasks associated with the Purchase Order. Seller’s system, including the procedures, may be subject to disapproval if they adversely impact the quality of the Products. If requested by Buyer Seller shall supply to Buyer a reasonable quantity of samples of any product or part, free of charge, for the purpose of evaluation by Buyer.
Quality Control and Samples. A. The license granted hereunder is conditioned upon Licensee’s full and complete compliance with the marking provisions of the trademark, patent and copyright laws of the United States and other countries in the Contract Territory where Products are then being sold. Licensee further agrees that the Products, as well as all promotional, packaging and advertising material relative thereto, shall be developed, manufactured, distributed, advertised and sold in accordance with all laws, rules and regulations applicable in the countries in which Products are sold, shall contain all notices, labels, instructions, legends as may be required by any applicable law or regulation, and Licensee shall otherwise be in compliance therewith in all respects. Licensee further agrees to include all appropriate legal notices as required by the Licensors.
B. The Products shall be of a high quality which is at least equal to comparable products manufactured and marketed by Licensee and in conformity with a sample approved in writing by the Licensors pursuant to Section 7.
C. Upon written notice by the Licensors to Licensee that Products and/or the advertisements associated with Products fall below the standards referenced within this Agreement or as previously approved by the Licensors, Licensee shall restore such quality. In the event that Licensee fails to take such steps to restore the quality and has not restored such quality within fifteen (15) days after written notification by the Licensors, the Licensors shall have the immediate right to terminate this Agreement; provided that, in the event that the restoration of such quality will reasonably take more than fifteen (15) days, Licensee shall still have the opportunity to restore such quality (and the Licensors shall not have the right to terminate this Agreement) so long as Licensee commences good faith efforts to do so within ten (10) days after written notification by the Licensors and thereafter diligently pursues such remedy to completion; provided that, in any event, such quality is restored in within sixty (60) days after notification by the Licensors.
D. Licensee shall, at Licensee’s sole cost, provide the Licensors with a reasonable amount of Products for the Kardashians’ personal use.
