Common use of Quality of Representations Clause in Contracts

Quality of Representations. Except for the representations and warranties contained in this Article II, neither MNB, any MNB Subsidiary nor any other Person on behalf of MNB or any MNB Subsidiary makes any other express or implied representation or warranty with respect to MNB or any MNB Subsidiary or with respect to any other information provided to Fidelity or 39 any Fidelity Subsidiary in connection with the transactions contemplated hereunder. Neither MNB, any MNB Subsidiary nor any other Person will have or be subject to any liability or indemnification obligation to Fidelity or any Fidelity Subsidiary or any other Person resulting from the distribution to them, or their use of, any such information, including any information, documents, projections, forecasts of other material made available to them in certain “data rooms” or management presentations in expectation of the transactions contemplated by this Agreement, unless any such information is expressly included in a representation or warranty contained in this Article II. Fidelity and Fidelity Bank acknowledge that neither MNB nor any MNB Subsidiary makes any representations or warranties except for the representations and warranties contained in this Article II, and that they have not relied on any representation or warranty other than those set forth in this Article II.

Neither MNBTraditions, any MNB Traditions Subsidiary nor any other Person will have or be subject to any liability or indemnification obligation to Fidelity ACNB or any Fidelity ACNB Subsidiary or any other Person resulting from the distribution to them, or their use of, any such information, including any information, documents, projections, forecasts of other material made available to them in certain “data rooms” or management presentations in expectation of the transactions contemplated by this Agreement, unless any such information is expressly included in a representation or warranty contained in this Article II. Fidelity ACNB, Acquisition Subsidiary and Fidelity ACNB Bank acknowledge that neither MNB Traditions nor any MNB Traditions Subsidiary makes any representations or warranties except for the representations and warranties contained in this Article II, and that they have not relied on any representation or warranty other than those set forth in this Article II.

Fidelity NW Bancorp and Fidelity NWS Bank acknowledge that neither MNB ACNB nor any MNB ACNB Subsidiary makes any representations or warranties except for the representations and warranties contained in this Article IIIII, and that they have not relied on any representation or warranty other than those set forth in this Article IIIII.
