Quality Standards, Inspection and Testing. So that the value of the goodwill and reputation associated with the Licensed Intellectual Property will not be diminished, Licensee shall have the obligation to ensure that all goods or services offered in connection with any of the Licensed Intellectual Property shall be at least the same uniform high quality as offered by Licensee immediately prior to the Closing Date of the Acquisition Agreement. To monitor for Licensee's adherence to such obligations, Licensor shall have the right to inspect such goods and services, from time to time through duly authorized representatives. To the extent that such goods or services fail to meet the quality requirements set forth in this Agreement, those goods or services shall not be offered or sold or in any way promoted in connection with the Licensed Intellectual Property.
