Common use of Quorum of Members Clause in Contracts

Quorum of Members. Unless otherwise provided by applicable law, the Certificate of Formation or this Agreement, the presence of a majority of the Members on a per capita basis and represented in person or by proxy, shall constitute a quorum at a meeting of the Members. The Members present at a duly organized meeting may continue to transact business until adjournment, and the subsequent withdrawal of any Member or the refusal of any Member to vote shall not affect the presence of a quorum at the meeting.

The Members present at a duly organized meeting may continue to transact business until adjournment, and the subsequent withdrawal departure of any Member from the meeting prior to adjournment of the meeting or the refusal of any Member to vote shall not affect the presence of a quorum at the meeting.
