Common use of Quotation on Nasdaq Clause in Contracts

Quotation on Nasdaq. The Company shall (i) promptly following the closing, take such action as may be necessary to include the Conversion Shares on the Nasdaq National Market System, and (ii) use its best efforts to maintain the designation and quotation, or listing, of the Common Stock on the Nasdaq National Market System, the Nasdaq Small Cap Market, the New York Stock Exchange or the American Stock Exchange.

The Company shall (i) promptly following the closingTranche A Closing, take such action as may be necessary to include the Conversion Shares and the Warrant Shares on the Nasdaq National Market SystemMarket, and (ii) use its best efforts to maintain the designation and quotation, or listing, of the Common Stock on the Nasdaq National Market System, the Nasdaq Small Cap Market, the New York Stock Exchange or the American Stock Exchange.

The Company shall (i) promptly following the closingClosing, take such action as may be necessary to include all of the Conversion Shares that may be issued by the Company on the Nasdaq National Market SystemMarket, and (ii) use its best reasonable commercial efforts to maintain the designation and quotation, or listing, of the Common Stock on the Nasdaq National Market System, the Nasdaq Small Cap Market, the New York Stock Exchange or the American Stock ExchangeNYSE for a minimum of five (5) years following the Closing.

The Company shall (i) promptly following the closing, Closing take such action as may be necessary to include the Conversion Shares and the Warrant Shares on the Nasdaq National Market SystemMarket, and (ii) use its best efforts to maintain the designation and quotation, or listing, of the Common Stock on the Nasdaq National Market System, the Nasdaq Small Cap Market, the New York Stock Exchange or the American Stock Exchange.

The Company shall (i) promptly following the closingClosing, take such action as may be necessary to include secure the designation and quotation of the Conversion Shares and the Warrant Shares on the Nasdaq National Market SystemMarket, (ii) prior to the issuance thereof, secure the designation and quotation of the Issuable Securities and (iiiii) use its best efforts to maintain the designation and quotation, or listing, of the Common Stock on the Nasdaq National Market System, the Nasdaq Small Cap Market, or the New York Stock Exchange or the American Stock Exchangeother national securities exchange.
