Common use of Quotation on Nasdaq Clause in Contracts

Quotation on Nasdaq. The Company shall (i) promptly following ------------------- the Closing, use its commercially reasonable efforts to include all of the Shares and all of the Warrant Shares issuable upon exercise of the Warrants (without regard to any limitation on such exercise) for designation and quotation on the Nasdaq Stock Market, and (ii) use its commercially reasonable efforts to maintain the designation and quotation, or listing, of the Common Stock on the Nasdaq SmallCap Market, the Nasdaq National Market or the New York Stock Exchange for a minimum of five (5) years following the Closing Date.

Quotation on Nasdaq. The Company shall (i) promptly following ------------------- the Closing, use its commercially reasonable efforts take such action as may be necessary to include all of the Debenture Shares and all of the Warrant Shares issuable upon exercise of that may be issued by the Company (or such surviving entity) under the Debentures and Warrants (without regard to any limitation on such exercise) for designation and quotation on the Nasdaq Stock Market, and (ii) use its commercially reasonable efforts to maintain the designation and quotation, or listing, of the Common Stock on the Nasdaq SmallCap Market, the Nasdaq National Stock Market or the New York Stock Exchange for a minimum of five (5) years following the Closing Date.

Quotation on Nasdaq. The Company shall (i) promptly following ------------------- prior to the Closing, use its commercially reasonable efforts take such action as may be necessary to include all of the Shares to be issued by the Company under this Agreement and all the maximum number of the Warrant Shares issuable upon exercise of pursuant to the Warrants taken as a whole (without regard to any restriction or limitation on such exercise) for designation and quotation on the Nasdaq Stock National Market, and (ii) use its commercially reasonable commercial efforts to maintain the designation and quotation, or listing, of the Common Stock on the Nasdaq SmallCap Market, the Nasdaq National Market or the New York Stock Exchange for a minimum of five (5) years following the Closing Date.
