Ratification and Incorporation of Base Indenture. As supplemented hereby, the Base Indenture is in all respects ratified and confirmed, and the Base Indenture and this Supplemental Indenture shall be read, taken and construed as one and the same instrument. This Supplemental Indenture shall form a part of the Indenture for all purposes, and every Holder of Notes shall be bound hereby.

Notwithstanding anything to the contrary, none of the provisions of this Second Supplemental Indenture are intended to be adverse to the interests of the holders of the 2009 Notes in any material respect, and this Second Supplemental Indenture shall be construed and enforced to give effect to said intent.
