Ratification; Counterparts. Each of the undersigned ratify and confirm the continued force and effect of the Purchase Agreement as modified by this Amendment, and agree that all terms and provisions of the Purchase Agreement shall remain in full force and effect as originally set forth, except as otherwise expressly modified or amended herein. In the event of a conflict between the terms and provisions of this Amendment and the Purchase Agreement, the terms and provisions of this Amendment shall prevail. This Amendment may be executed in any number of counterparts, each of which shall constitute an original document but all of which together shall constitute one and the same instrument.

As amended hereby, the Sublease is hereby ratified and confirmed by the parties hereto. This Amendment may be executed in any number of counterparts, each of which shall be an original, but all of which taken together shall constitute one instrument.

Contractor affirms and reaffirms to City each of Contractor’s representations, warranties, covenants, and agreements set forth in the Original Agreement, except as modified under this Extension. This Extension is hereby made part of the Agreement. The Agreement (as modified and supplemented by this Extension) is in full force and effect. The provisions of the Agreement that are not amended or modified by this Extension remain unchanged and in full force and effect. The parties’ execution of this Extension will not be construed as an actual or implied waiver of any condition and/or obligation contained in the Agreement. This Extension may be executed in counterparts.

This Amendment may be executed in one or more counterparts, each of which will be deemed to be an original and all of which, when taken together, will be deemed to constitute one and the same agreement. Electronic copies of any signed original document shall be deemed the same as delivery of an original.
Ratification; Counterparts. Except as amended and modified hereby, the Agreement shall continue unmodified and in full force and effect and is hereby ratified and confirmed. This Amendment may be executed in counterpart originals which, taken together, shall constitute a single original. The parties agree that a faxed or emailed PDF signature of a party on this Amendment constitutes an original signature binding on that party.
Ratification; Counterparts. All other terms and conditions of the Lease, as amended by the First Amendment, shall remain unchanged, and are hereby ratified and confirmed. This Second Amendment may be executed in any number of counterparts, each of which shall be deemed an original, but all of which together shall constih1te one and the same instrument. Except as otherwise defined herein, capitalized terms shall have the meanings set forth in the Lease.

Except as amended above, the License Agreement will remain in full force and effect, and Top-Flite and Licensee hereby ratify and confirm each and every provision of the License Agreement, as amended by this Amendment. This Amendment may be executed in any number of counterparts, all of which will constitute one and the same instrument and will for all purposes be deemed to have been made, executed and delivered as of the Effective Date, irrespective of the time or times when the same or any of the counterparts may be made, executed and delivered.

Ratification; Counterparts. The Purchase Agreement, as hereby amended, is fully ratified and confirmed and continues in full force and effect. In the event of any conflict between the Purchase Agreement and this Fifth Amendment, this Fifth Amendment shall control.
