Ratification; Entire Agreement. This Amendment shall not effect any terms or provisions of the Agreement other than those amended hereby and is only intended to amend, alter or modify the Agreement as expressly stated herein. Except as amended hereby, the Agreement remains in effect, enforceable against each of the parties, and is hereby ratified and acknowledged by each of the parties. The Agreement, as amended by this Amendment, constitutes the entire agreement among the parties hereto with respect to the subject matter hereof and supercedes any prior or contemporaneous agreements, whether oral or written, among the parties with respect to the subject matter hereof. No amendment or modification of this Amendment shall be effective unless made in writing and duly executed by the parties hereto.

This Amendment shall not affect any of the terms or provisions of the Agreement other than those specified in this Amendment, and is only intended to amend, alter, or modify the Agreement as expressly stated herein. Except as amended hereby, the Agreement remains in effect, enforceable against each of the parties, and is hereby acknowledged and ratified by each of the parties. This Amendment shall be governed by and subject to the same terms, conditions, provisions, and rules of law or construction that apply according to the Agreement.
Ratification; Entire Agreement. Except as expressly modified hereby, all other terms and conditions of the License Agreement will remain in full force and effect without amendment or modification and are hereby ratified and confirmed in their entirety. The License Agreement as amended by this Amendment supersedes any prior understandings or written or oral agreements between the parties respecting the subject matter hereof and contains the entire understanding of the parties with respect thereto.
Ratification; Entire Agreement. This Amendment does not constitute an offer by either party and will not be effective until signed by both parties. Upon execution of this Amendment, the Agreement, as modified by this Amendment, shall be ratified by the parties and shall remain in full force and effect, and the Agreement and this Amendment will constitute the entire agreement between the parties with respect to the subject matter and merge all prior and contemporaneous communications. In the event that there is a conflict between the Agreement and the Amendment, the Amendment shall control.
Ratification; Entire Agreement. Except as otherwise specifically provided in this Agreement, the Subscription Agreement is hereby ratified and remains in full force and effect. This Agreement, together with the Subscription Agreement and the Non-Disclosure Agreement previously executed by the Parties and the other documents executed contemporaneously herewith, constitute the entire agreement between the Parties with respect to the matters covered hereby and thereby, and may only be amended by a writing executed by all Parties.
Ratification; Entire Agreement. Except as otherwise expressly modified by the terms of this Agreement, the Contracts shall remain unchanged and continue in full force and effect. All terms, covenants, and conditions of the Contracts not modified hereby are hereby confirmed and ratified and remain in full force and effect, and, as further modified hereby, constitute valid and binding obligations of the Lender and Xxxxxx Mae according to the terms thereof. Without limiting the foregoing, this Agreement constitutes the entire agreement between the Parties hereto with respect to the subject matter hereof, superseding all other discussions, promises, representations, warranties, agreements and understandings, whether written or oral, relating to the subject matter hereof.

The Purchase Agreement (including the Schedules and Exhibits), as amended by this Amendment, constitutes the entire agreement and supersedes all prior agreements and understandings, both written and oral, among the parties with respect to the subject matter hereof.

This Amendment will not affect any terms of the Merger Agreement other than those amended by this Amendment and is only intended to amend, alter or modify the Merger Agreement as expressly stated herein. Except as amended by this Amendment, the Merger Agreement remains in full force and effect, enforceable against each of the Parties, and is hereby ratified and acknowledged by each of the Parties. The Merger Agreement (including the Schedules and Exhibits), as amended by this Amendment, represents the entire understanding and agreement of the Parties to this Amendment with respect to the subject matter of this Amendment, supersedes all prior negotiations between such Parties, and may not be amended, supplemented or changed orally but only by an agreement in writing signed by the Party or Parties against whom enforcement is sought and making specific reference to this Amendment. If there are any conflicts between this Amendment and the Merger Agreement, then this Amendment will govern and control.
