Common use of Ratification of actions of attorney Clause in Contracts

Ratification of actions of attorney. For the avoidance of doubt and without limiting the generality of Clause 11.1, it is confirmed that it authorises the Lender to execute on behalf of the Owner a document ratifying by the Owner any transaction or action which the Lender and/or a Receiver has purported to enter into or to take and which the Lender considers was or might have been outside his powers or otherwise invalid.

For the avoidance of doubt and without limiting the generality of Clause 11.110.1 (Appointment), it is confirmed that it authorises the Lender Agent to execute on behalf of the Owner a document ratifying by the Owner any transaction or action which the Lender Agent and/or a Receiver has purported to enter into or to take and which the Lender Agent considers was or might have been outside his powers or otherwise invalid.

For the avoidance of doubt and without limiting the generality of Clause 11.110.1, it is confirmed that it authorises the Lender Issuer to execute on behalf of the Owner a document ratifying by the Owner any transaction or action which the Lender Issuer and/or a Receiver has purported to enter into or to take and which the Lender Issuer considers was or might have been outside his powers or otherwise invalid.
